An LLC is the most popular business form for foreigners in Georgia: about 98% of foreign-owned companies use it. There is no minimum share capital, no resident partner is required, and a single founder is enough. If you already have an IE in Georgia but have outgrown it — you need employees, investors, or limited personal liability — an LLC is the logical next step. It is also the entity most often used for a residence permit on business grounds, when the company invests at least 300,000 GEL or employs at least three Georgian citizens.

Who an LLC suits, and who should stick with an IE

An LLC gives limited liability: the founder's personal assets are not on the hook for company debts, unlike an IE, where the owner is liable with everything they own. An LLC is better suited to hiring staff, bringing in investors, and working with multiple co-owners. If the business is just you, with no employees or partners, an IE is usually simpler and cheaper to administer.

How to register an LLC

Registration is handled by the National Agency of Public Registry through the House of Justice, the same building with eleven white "petals" on the Kura riverbank (2 Zviad Gamsakhurdia Street) where IEs are registered and residence permits are processed. A foreign founder can own 100% of the company; no special permission is needed for that.

What documents are needed

  • the founder's passport (and the director's, if a different person)
  • the company charter (a standard template can be used)
  • a legal address in Georgia
  • a notarized power of attorney, if filing through a representative

Timeframes and cost

Per the official rates of the National Agency of Public Registry: standard registration costs 200 GEL with a one working day turnaround; same-day filing costs 400 GEL. That is more than registering an IE (26 and 75 GEL respectively), but still fast and without the bureaucratic delays common elsewhere.

Corporate tax: the Estonian model

Georgia applies the Estonian model of corporate tax: as long as profit stays in the company, reinvested, spent on salaries or operating costs, no tax is due at all, a 0% rate. A 15% tax applies only when profit is distributed, and it is calculated gross-up: to pay out 85,000 GEL, the company pays 15,000 GEL in tax. On top of that, a separate 5% withholding tax applies when dividends are actually paid to the founder. The total burden of taking profit out to the owner ends up noticeably higher than 15%, worth factoring into the real return on the business.

VAT: when registration becomes mandatory

Georgia's VAT rate is 18%. Registration is mandatory once taxable turnover exceeds 100,000 GEL in any rolling 12-month period, and the application must be filed within 2 working days of crossing the threshold. Voluntary registration earlier is also possible, if useful for dealing with VAT-registered counterparties.

A special regime for IT companies

Companies operating in the Virtual Zone or holding International Company status get preferential corporate tax and VAT rates, down to 0-5% on exported IT services. That is a separate topic requiring individual assessment: the terms and limits depend on the type of activity and revenue structure.

A bank account for the company

Opening an account for an LLC usually takes more documents and time than for an IE: banks more often ask for a business plan, ownership structure, and source of capital, especially with foreign founders. Worth budgeting separate time for this in the business launch plan.

Bookkeeping and reporting

Even at zero profit, an LLC must keep accounting records and file an annual profit tax declaration through the personal account on rs.ge by March 31 of the following year. Once VAT-registered, reporting becomes monthly. Most foreign owners hire a local accountant, not optional, but a practical necessity for staying compliant.
